These Terms & Conditions (“Terms") govern your access to and use of the Web Salesperson platform (“Service”), including our website builder, AI assistant, hosting, domain, email and reporting tools. By using the Service, you agree to be bound by these Terms.

1. Seller Information

2. Acceptance of Terms

By accessing or using the Service, creating an account, or making a purchase, you agree to these Terms. If you do not agree, you must not use the Service.

3. Description of Service

Web Salesperson allows users to clone existing websites, create new sites from templates, edit content and images, connect custom domains and email, and deploy an AI-powered chat assistant that answers visitor questions and captures leads.

4. Account & Authority

You must provide accurate information when creating an account and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.

5. Acceptable Use

You agree not to misuse the Service, including but not limited to:

  • Using the Service for any unlawful purpose or to promote illegal activity.
  • Uploading or distributing malware, viruses, or other harmful code.
  • Engaging in fraud, spam, phishing, or deceptive practices.
  • Infringing intellectual property rights of others.
  • Reverse engineering, scraping, probing, or interfering with the Service's security.
  • Circumventing usage limits, technical restrictions, or access controls.

5.1 Prohibited websites

The Service screens every website address submitted for cloning and will reject sites whose main purpose falls into any of the following categories:

  • Banking, payment processing, crypto exchanges, brokerages or insurance portals.
  • Gambling, casino, betting or lottery sites.
  • Adult or pornographic content.
  • Online pharmacies, prescription drugs or weapons.
  • Scam, phishing or fake copies of another brand.
  • Government or official identity portals.

Attempting to bypass this screening, or cloning a website you have no right to copy, may result in immediate suspension.

6. Intellectual Property

[SELLER LEGAL NAME] retains all ownership rights in the Web Salesperson software, templates, code, documentation, branding and other materials. You retain ownership of the content you upload or create. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your active subscription or ownership period.

7. User Content

You grant [SELLER LEGAL NAME] a limited licence to host, process and display your content solely for the purpose of providing the Service. You are responsible for ensuring your content does not violate any law or third-party rights.

8. Payment, Billing & Subscriptions

Payments for the Service are processed by our online reseller, Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides customer service inquiries and handles returns. By completing a purchase, you agree to Paddle's Buyer Terms, available at https://www.paddle.com/legal/checkout-buyer-terms.

Subscriptions renew automatically unless cancelled before the renewal date. Taxes, where applicable, are collected by Paddle in accordance with local regulations.

9. Refunds

Refunds are handled in accordance with our Refund Policy. For refund requests, you may contact Paddle directly at paddle.net.

10. Service Level

We strive to keep the Service available and error-free, but we do not guarantee uninterrupted or error-free performance. Scheduled maintenance, third-party outages, or events beyond our control may affect availability.

11. Suspension & Termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts due, pose a security or fraud risk, or repeatedly or seriously violate our policies. Upon termination, your right to use the Service ceases immediately.

12. Limitation of Liability

To the fullest extent permitted by law, [SELLER LEGAL NAME] is not liable for indirect, consequential, special or punitive damages, including loss of profits, data or goodwill. Our aggregate liability is limited to the fees you paid to us in the 12 months preceding the event giving rise to liability, except where prohibited by law.
